Terms of Service
These terms are an agreement between you and Digital Spark Team LLC, a limited liability company in the United States ("Coagento", "we", "us"). They cover your use of our website, the Coagento dashboard and the AI agents you create with it (together, the "Service"). By creating an account or using the Service, you agree to these terms and to our Privacy Policy. If you use the Service for a company, you agree for that company and confirm you're allowed to.
1. The Service
Coagento lets you create AI agents that learn about your business, work on a schedule, talk to you and your customers on WhatsApp or Slack, and take actions in accounts you connect. We're improving the Service all the time, so we may add, change or remove features. If we remove something important from a paid plan, we'll tell you in advance.
2. Your account
- You must be at least 16 years old and able to enter into a binding contract to use the Service.
- Give us accurate information and keep it up to date.
- Keep access to your email and sign-in accounts secure. You're responsible for everything done through your account. Tell us right away at support@coagento.com if you think someone else is using it.
3. Your AI keys and connected services
- AI providers: your agents use the API keys you add from OpenAI, Anthropic, Google Gemini or DeepSeek. Those providers bill you directly for what your agents use, at their prices, and their terms apply. You're responsible for those costs and for keeping your keys valid.
- WhatsApp and Slack: your agents work through your own WhatsApp Business number, with your own Meta app, and your own Slack apps. You must follow the WhatsApp Business, Meta and Slack terms and policies, including getting the consent your customers need to receive messages.
- Connected accounts: when you connect Google, Instagram, Facebook, Threads, X, Reddit or Notion, you allow your agents to act in those accounts as you direct, and those services' terms apply.
We don't control these third-party services and aren't responsible for their availability, changes, costs or actions.
4. Your content
- Your content, including your messages, files, knowledge base and business information, stays yours.
- You give us permission to host, copy, process and send your content only as needed to provide the Service, as described in our Privacy Policy.
- You confirm you have the rights and permissions needed for the content you add, and to let your agents process the personal data of the people they talk to. For that data, you're the controller and we act on your behalf.
5. AI output and your approval
- AI can make mistakes. Agents' replies, drafts, summaries and pictures may be inaccurate, incomplete or inappropriate. Check anything important before you rely on it.
- Anything an agent would publish or send in your name, like a post, a reply to a comment or a calendar invite, waits as a draft until you approve it. You're responsible for what you approve, and for what your agents say to the people you let them answer.
- Don't use the Service to make decisions with legal or similarly significant effects on people, such as medical, legal, financial, employment or credit decisions, without a person reviewing them.
6. Acceptable use
You agree not to use the Service to:
- send spam, bulk or unsolicited messages, or message people who haven't agreed to hear from you;
- break any law, or the terms and policies of WhatsApp, Meta, Slack or any connected service;
- create or share content that is illegal, deceptive, hateful, harassing, sexually explicit involving minors, or that infringes others' rights;
- impersonate anyone or mislead people about who they're talking to;
- collect or process other people's personal data without a lawful basis;
- break, overload, probe or get around the security or limits of the Service, or reverse-engineer it;
- resell the Service or use it to build a competing product.
We may remove content or limit, suspend or close accounts that break these rules.
7. Plans, billing and renewal
- Plans: you can use Coagento on the Free plan or on a paid plan. Plan features, limits and prices are listed on our website and in the dashboard. Replies included in a plan reset every month and don't roll over.
- Paddle: our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries about payments and handles returns. Paddle's buyer terms apply to your purchase, and Paddle adds taxes where they apply.
- Renewal: paid plans are monthly subscriptions that renew automatically, and are charged at the start of each month, until you cancel.
- Cancelling: you can cancel at any time on the Billing page. Your plan stays active until the end of the month you've paid for, and you won't be charged again.
- Price changes: we'll tell you at least 30 days before a price change applies to your subscription. If you don't agree, you can cancel before it takes effect.
- AI usage is billed by your AI providers, not by us (see Your AI keys).
8. Refunds
- If you're not happy with a payment, you can ask for a full refund within 14 days of it.
- After 14 days, payments aren't refundable, including for the unused part of a month. When you cancel, your plan simply stays active until the end of the paid month.
- To ask for a refund, email support@coagento.com or contact Paddle through the link in your receipt. Refunds go back to your original payment method through Paddle.
- This doesn't limit any refund rights you have under the law where you live.
9. Suspension and termination
- You can stop using the Service and delete your account at any time under Settings > Delete account.
- We may suspend or close your account if you break these terms, don't pay, put the Service or others at risk, or if the law requires it. Where reasonable, we'll warn you first and give you a chance to fix the problem or export your data.
- When your account is closed, your data is deleted as described in our Privacy Policy. Sections 4, 10 to 13 and 15 continue to apply.
10. Our intellectual property
The Service, including its software, design and brand, belongs to us and our licensors. These terms give you a limited, non-exclusive, non-transferable right to use it while your account is active. If you send us feedback or ideas, we may use them without any obligation to you.
11. Disclaimers
The Service is provided "as is" and "as available". To the extent the law allows, we make no warranties of any kind, express or implied, including that the Service will be uninterrupted, error-free or secure, that AI output will be accurate, or that the Service will meet your needs.
12. Limitation of liability
To the extent the law allows:
- we aren't liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or business opportunities;
- our total liability for all claims relating to the Service is limited to the amount you paid us in the 12 months before the claim arose, or 100 US dollars if that's more.
Nothing in these terms limits liability that can't be limited by law.
13. Indemnity
You agree to defend and compensate us for claims, losses and costs (including reasonable legal fees) arising from your content, your use of the Service, or your breach of these terms or of the law.
14. Changes to these terms
We may update these terms. We'll change the date at the top, and if a change is significant, we'll tell you by email or in the dashboard at least 30 days before it takes effect. If you keep using the Service after that, you accept the new terms. If you don't agree, you can delete your account.
15. Governing law and disputes
These terms are governed by the laws of the US state where Digital Spark Team LLC is registered, without regard to its conflict of law rules. Disputes will be resolved in the state or federal courts of that state, and you and we agree to their jurisdiction. If you're a consumer, this doesn't take away the protection of mandatory laws of the country where you live.
